Definitions

In this Agreement:

• "Agreement" means this agreement including any Schedules, and any amendments to this Agreement from time to time.
• "Charges" means the following amounts: such amounts as may be agreed by the parties in writing from time to time.
• "Date" means the date of execution of this Agreement.
• "Intellectual Property Rights" means all intellectual property rights wherever in the world, whether registrable or unregistrable, registered or unregistered, including any application or right of application for such rights (and these intellectual property rights include copyright and related rights, database rights, internet domain names, confidential information, trade secrets, know-how, business names, trade names, trademarks, service marks, passing off rights, unfair competition rights, patents, petty patents, utility models, semi-conductor topography rights, and rights in designs).
• "Minimum Term" means, in respect of this Agreement, the period of 12 months.
• "Schedule" means any schedule attached to the main body of this Agreement.

Agreement

1. Prohibited Transaction means any of the transactions or activities listed below or as may be subsequently made available on the Website from time to time:
   i. Sale, supply or purchase of illegal items or items promoting or facilitating illegal activities.
   ii. Products or services for the processing or aggregation of payments by third parties.
   iii. Money laundering.
   iv. Terrorism financing or propaganda.
   v. Pornography, escort services and selling or advertising sexual services.
   vi. Using the Card or Wallet Account in a manner or for purposes that violate any applicable law or regulations of the Card Organisation or SEPA.
   
   
2. Banking Account/Card Related Services
   i. The process may involve providing us with a valid passport or ID card and a bank statement or address proof or other identification documents, as well as a selfie together with the presented identity document in real time, or any other procedure we may specify.
   ii. Banks or MasterCard may refuse to approve any transfer or payment process for any reason related to compliance, financial institutions, card providers, or if a security breach arises.
   iii. The Wallet Accounts and Cards are issued only to individuals or business directors. You may only use your Accounts and Card personally and may not transfer their use to anyone else.
   iv. You must not use your Account or Card for or in relation to:
   any activities that do not comply with laws or regulations, including laws on money laundering, fraud, financial services, or consumer protection;
   any Prohibited Transaction under this Agreement; or
   illegal trading or business purposes.
   
   
3. GIVING INSTRUCTIONS FOR CARD PAYMENTS
   You give us an instruction and consent to a payment made using your Card using any one of the following methods: in case of online payments for goods or services online or via the phone, by providing your Card details and a one-time payment code or other security information when requested.Merchants in certain sectors (e.g., car rental, advertising subscriptions, SaaS, hotels) may estimate the final Card payment amount and “pre-authorise” or withhold it. The withheld funds may exceed the final amount spent and may not be available for up to 15 days.

License

We grant you a limited, non-exclusive, non-transferable, and revocable license to use Yooppayments for your personal and non-commercial purposes, subject to these terms and our privacy policy. You may not copy, modify, distribute, sell, or lease any part of Yooppayments, nor attempt to extract its source code without written permission.

Registration and Account

To use Yooppayments , you must register and create an account with accurate information and maintain its security. You are responsible for activities under your account. Notify us immediately of unauthorized access. We are not liable for any loss arising from your failure to secure your account.

Payment Services

Yooppayments  allows you to link your bank account, credit card, or other payment methods to make payments to merchants or users. You are responsible for verifying recipients and ensuring sufficient funds. We are not responsible for any delays, errors, or losses during processing.

Fees and Charges

We do not charge any fees for using Yooppayments, except those imposed by your bank or card issuer. You are responsible for such fees and any taxes. We may change or introduce new fees with prior notice.

Restrictions

• You agree not to use Yooppayments for any illegal or unauthorized purposes, or in violation of laws. You must not:
• Use Yooppayments for money laundering, terrorism, or tax evasion.
• Violate third-party rights such as intellectual property or privacy.
• Engage in fraudulent or misleading transactions.
• Promote or send abusive, hateful, or obscene content.
• Participate in pyramid schemes or cash advances.
• Violate professional or ethical standards.
• Breach sanctions or restrictions imposed by authorities.
• Evade anti-money laundering or anti-terrorism regulations.
• Circumvent limits or verification procedures.
• We reserve the right to monitor, suspend, or cancel any transactions violating these terms or laws and to report suspicious activity to authorities.
  
  

Intellectual Property Rights

We retain all rights and ownership of Yooppayments , including software, design, features, and trademarks. You are not granted any rights to use or reproduce our intellectual property except with written permission. You agree not to infringe or challenge our rights.
